These Terms & Conditions govern your use of the EdgeFit Media website and, where applicable, the services provided by EdgeFit Media.

By using this website or engaging EdgeFit Media to provide services, you agree to these Terms & Conditions together with any proposal, scope of work, agreement or other terms provided to you in connection with our services.

EdgeFit Media provides organic content strategy and content creation services, which may include research, content strategy, ideation, scripting, editing, publishing support, performance analysis and related creative services.

The exact services, deliverables, timelines and fees applicable to a client engagement will be outlined in the relevant proposal, scope of work, agreement or other written communication between EdgeFit Media and the client.

Where there is any inconsistency between these Terms & Conditions and a separately agreed written client agreement or scope of work, the separately agreed terms will apply to the extent of that inconsistency.

Client responsibilities

To allow us to provide our services effectively, clients are responsible for providing information, materials, feedback, approvals and access reasonably required to complete the agreed work.

This may include footage, brand assets, account access, product or service information and other materials relevant to the project.

Clients are responsible for ensuring that information and materials supplied to EdgeFit Media are accurate and that they have the necessary rights and permissions for those materials to be used.

Delays in providing required materials, feedback or approvals may affect agreed timelines.

You retain ownership of materials you provide to EdgeFit Media.

By supplying materials to us, you grant EdgeFit Media permission to use, reproduce, edit and adapt those materials to the extent reasonably necessary to provide the agreed services.

You confirm that your supplied materials do not knowingly infringe the intellectual property, privacy or other rights of a third party.

Fees and payment

Fees for EdgeFit Media services will be communicated before work begins and may be outlined in a proposal, invoice, scope of work or separate client agreement.

Payment terms, including any deposits, instalments or recurring payments, will be specified as part of the relevant engagement.

Unless otherwise agreed in writing, invoices must be paid by their stated due date.

EdgeFit Media may pause or delay work where an invoice remains overdue.

Any additional work requested outside the agreed scope may incur additional fees. Where practical, these fees will be communicated and agreed before the additional work is undertaken.

Scope and revisions

Scope and revisions

The scope of each engagement is limited to the services and deliverables agreed between EdgeFit Media and the client.

Where revisions are included, they apply to reasonable amendments to the agreed deliverables and do not include substantial changes in direction, new concepts or additional deliverables unless otherwise agreed.

Requests that fall outside the agreed scope may be quoted separately.

Timelines and delays

Timelines and delays

Any delivery dates or timelines provided by EdgeFit Media are based on the information available at the time and assume timely cooperation from the client.

We will make reasonable efforts to meet agreed timelines but cannot guarantee delivery dates where delays arise from circumstances outside our reasonable control or from delayed client materials, feedback, approvals or access.

If a delay occurs, we will communicate with the client and work to establish an appropriate revised timeline.

Cancellations and refunds

Cancellations and refunds

If you wish to cancel an ongoing or upcoming engagement, please contact EdgeFit Media as soon as possible.

Any fees payable following cancellation will depend on the work already completed, commitments already made and the terms of the relevant proposal, scope of work or client agreement.

Payments relating to services already performed, work already completed or reasonable costs already incurred may not be refundable, except where required by law.

Where payment has been made in advance for services that have not yet been provided, any refund or credit will be assessed having regard to the circumstances of the engagement, work already undertaken and applicable law.

Nothing in these Terms & Conditions excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded under the Australian Consumer Law or other applicable legislation.

Intellectual property

Unless otherwise agreed in writing, EdgeFit Media retains ownership of its pre-existing intellectual property, systems, processes, templates, methods, concepts and working materials.

Upon full payment of all applicable fees, the client will receive the rights to use the final approved deliverables for the purposes agreed as part of the engagement.

Any third-party materials, including fonts, music, stock footage, software, platform assets or other licensed materials, remain subject to their applicable licence terms.

Specific intellectual property arrangements may be further defined in a proposal or client agreement.

Portfolio and promotional use

Unless otherwise agreed in writing, EdgeFit Media may display completed and publicly released work created for a client as part of our portfolio, website, social media, case studies and other promotional materials.

We will not knowingly publish confidential or unreleased client information for promotional purposes without appropriate permission.

If specific confidentiality requirements apply to an engagement, these should be agreed in writing.

Third-party platforms

Third-party platforms

Our services may involve third-party platforms and services such as social media platforms, content management systems, analytics tools, file-sharing services and other software.

EdgeFit Media does not control these third-party services and is not responsible for changes to their functionality, algorithms, availability, policies or performance.

Clients remain responsible for complying with the applicable terms and policies of platforms on which their content is published.

Content performance and results

Content performance and results

EdgeFit Media uses research, strategy, creative development and performance insights to improve the quality and effectiveness of content.

However, content performance is influenced by many factors outside our control, including platform algorithms, audience behaviour, market conditions, timing and the client’s existing audience and brand.

Unless expressly agreed in writing, EdgeFit Media does not guarantee specific numbers of views, followers, leads, sales, engagement or other performance outcomes.

Past performance or examples shown on our website do not guarantee future results.

Confidentiality

Confidentiality

Both EdgeFit Media and the client should treat confidential information received during an engagement responsibly and use it only for purposes connected with the agreed services.

This does not apply to information that is already publicly available, independently developed or required to be disclosed by law.

Additional confidentiality requirements may be agreed separately in writing.

The content on this website is provided for general information about EdgeFit Media and our services.

You must not use this website in a way that is unlawful, interferes with its operation or infringes the rights of EdgeFit Media or another person.

Unless otherwise stated, the website’s branding, design, written content and original creative materials are owned by or licensed to EdgeFit Media and must not be reproduced or commercially used without permission.

Liability

Liability

To the extent permitted by law, EdgeFit Media is not responsible for indirect or consequential loss arising from the use of our website or services, including loss resulting from third-party platforms, changes to platform functionality or factors outside our reasonable control.

Nothing in these Terms & Conditions is intended to exclude, restrict or modify rights, guarantees or remedies that cannot lawfully be excluded, including those available under the Australian Consumer Law.

Termination of services

Either party may end an engagement in accordance with the cancellation or termination terms agreed for that engagement.

EdgeFit Media may suspend or terminate services where a client materially breaches an agreement, fails to make required payments, fails to provide information reasonably required to perform the services or engages in unlawful or abusive conduct.

Where an engagement ends, outstanding fees for work already performed or costs properly incurred remain payable, subject to applicable law and any separately agreed terms.

We may update these Terms & Conditions from time to time to reflect changes to our website, services, business practices or legal obligations.

The latest version will be published on this website with the updated date shown above.
